Arbonne International Terms & Conditions

This Agreement sets forth the legal terms and conditions for your use of the website arbonne.com, including any mobile application relating thereto (the “Websites”) and for your purchase and/or use of any Arbonne goods or services. The Websites are created by Arbonne International, LLC and supervised by Arbonne Australia Pty Ltd. (hereinafter “Arbonne,” “We” or “Us”).

1. Agreement

BY USING ANY WEBSITES OR PURCHASING OR USING ANY PRODUCTS OR SERVICES FROM ARBONNE, YOU AGREE TO THE TERMS & CONDITIONS OF THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, THE ELECTRONIC DISCLOSURE AGREEMENT IN SECTION 9 BELOW.

SOME OF OUR PRODUCTS AND SERVICES HAVE ADDITIONAL RULES, POLICIES, AND PROCEDURES (“ADDITIONAL TERMS”). WHERE ADDITIONAL TERMS APPLY TO A PRODUCT OR SERVICE, WE WILL MAKE THEM AVAILABLE FOR YOU TO READ THROUGH PRIOR TO YOUR USE OF THAT PRODUCT OR SERVICE. BY USING THAT PRODUCT OR SERVICE, YOU AGREE TO THE ADDITIONAL TERMS.

WE RESERVE THE RIGHT TO CHANGE THE TERMS & CONDITIONS OF THIS AGREEMENT OR TO MODIFY OR DISCONTINUE THE PRODUCTS AND SERVICES PROVIDED ON THE WEBSITES AT ANY TIME. IF WE CHANGE THIS AGREEMENT, WE WILL GIVE YOU REASONABLE NOTICE BY POSTING THE REVISED AGREEMENT ON THE APPLICABLE WEBSITE(S). THOSE CHANGES WILL GO INTO EFFECT ON THE REVISION DATE SHOWN IN THE REVISED AGREEMENT.

BY CONTINUING TO USE ANY WEBSITES OR PURCHASE OR USE ANY PRODUCTS OR SERVICES FROM ARBONNE AFTER THE REVISION DATE, YOU AGREE TO BE BOUND BY SUCH CHANGES.

2. Eligibility

You agree to provide Us with complete and current registration information. Persons under 18 are prohibited from providing personal information on our Websites. Unless otherwise specified, the materials in the Websites are presented solely for the purpose of promoting products available in New Zealand. Arbonne makes no representation that materials contained in the Websites are appropriate or available for use in other locations. Those who choose to access the Websites (including without limitation any products or services available on or through the Websites) from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

3. Acceptable Use of the Websites

You are responsible for your use of the Websites, and for any use of the Websites made using your account. At Arbonne, our goal is to create a positive, rewarding, and safe experience in connection with our Websites. To promote this goal, we prohibit certain kinds of conduct that may be harmful to other users or to Arbonne. When you use the Websites, you may not:

violate any law or regulation;
violate, infringe, or misappropriate other people’s intellectual property, privacy, publicity, or other legal rights;
post or share anything that is illegal, abusive, harassing, harmful to reputation, pornographic, indecent, profane, obscene, hateful, racist, or otherwise objectionable;
send unsolicited or unauthorised advertising or commercial communications, such as spam (additionally, please read our Anti-Spam Policy in Section 16 below);
engage in spidering or harvesting, or participate in the use of software, including spyware, designed to collect data from the Websites;
transmit any viruses or other computer instructions or technological means whose purpose is to disrupt, damage, or interfere with the use of computers or related systems;
stalk, harass, or harm another individual;
impersonate any person or entity or perform any other similar fraudulent activity, such as phishing;
use any means to scrape or crawl any Web pages contained in the Websites (although Arbonne may allow operators of public search engines to use spiders to index materials from the Websites for the sole purpose of creating publicly available searchable indices of the materials, and Arbonne reserves the right to revoke these exceptions either generally or in specific cases);
use automated methods to use the Websites;
attempt to circumvent any technological measure implemented by Arbonne or any of Arbonne’s providers or any other third party (including another user) to protect the Websites;
attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Websites; or
advocate, encourage, or assist any third party in doing any of the foregoing.

4. Arbonne Independent Consultants

Arbonne products and services are sold through Arbonne’s network of Independent Consultants, who are each independent distributors of Arbonne’s products and services. Online shopping is fulfilled and sold directly by Arbonne in connection with an Arbonne Independent Consultant. To purchase Arbonne products or services, you do not have to become an Independent Consultant. If, however, you are interested in becoming an Arbonne Independent Consultant in New Zealand, please visit arbonne.com to register. You must be at least 18 years of age to become an Arbonne Independent Consultant.

5. Independent Consultant Websites

Arbonne Independent Consultants may have their own Internet websites, generally as part of the Arbonne Replicated Website Program. It is the sole responsibility of each Arbonne Independent Consultant to ensure that their website content is accurate and that it fully complies with all Arbonne Additional Terms, including without limitation, all applicable rules and regulations. ARBONNE DISCLAIMS ANY AND ALL LIABILITY ARISING OUT OF OR RELATED IN ANY WAY TO INDEPENDENT CONSULTANT WEBSITES.

6. Testimonials

The testimonials reflect the actual experience of each individual, are anecdotal only, and may be atypical. Arbonne makes no representation or warranty that your experience in using our products and services and/or as an Arbonne Independent Consultant will be similar to or reflect the experiences of those persons who have provided testimonials.

7. Online Account

When you register your account online with Arbonne, you will receive an Arbonne identification number (Arbonne ID). You agree that you will not create or have more than one (1) account at any given time and that you will only provide us with true, accurate, current and complete information at all times when you create or register for an account, or when you place an order. You are responsible for keeping your information up to date. Arbonne Independent Consultants, as well as Preferred Clients, Clients, and Customers who wish to access account information online, will establish a username and password. Please keep your password secret. You are entirely responsible for any activity under your Arbonne account.

You must promptly notify Arbonne of any actual or attempted unauthorised use of your Arbonne account via the contact details at the bottom of these Terms and Conditions. All orders of goods from Arbonne are made subject to a shipment contract, which means that the risk of accidental loss and title of the goods passes to you upon our delivery to the carrier.

We reserve the right to disable your user account or password, to suspend or terminate your right to use your account, your access to the Websites or any services (or any portion thereof), at any time, without prior notice, in our sole discretion for no or any reason, including without limitation, if we consider that you have failed to comply with any of the terms of these Terms and Conditions.

8. Ownership & Copyright Restrictions

Ownership & Copyright Restrictions. The Websites are owned and operated by Arbonne. All intellectual property rights in Websites, including in respect of, without limitation, software, content, text, photographs, images, graphics, video, audio, hypermedia items and the compilation as a whole (“Content”), belong to Arbonne or its licensors, unless otherwise noted and these rights are protected by copyright and other laws. You must abide by all additional copyright notices or restrictions contained in the Websites or elsewhere. You may not delete any author attributions, legal or proprietary notices in the Websites or elsewhere.

Except as noted in Section 10 below: (1) except for the temporary copy held in your computer’s cache, the Websites (or any part of a Website) may not be used, displayed, copied, reproduced, distributed, republished, uploaded, downloaded, posted, transmitted, mirrored, modified, or otherwise, or in any way exploited for personal gain; (2) you may not redistribute, sell, translate, modify, reverse-engineer or reverse-compile or decompile, disassemble or make derivative works of the Websites or any Content or components that are available on the Websites; and (3) you may not make commercial use of these pages and/or any other webpage or service provided by Arbonne, including redistribution or copying by means; EXCEPT with the prior, express written permission of Arbonne.

You agree not to interfere or take action that results in interference with or disruption of the Websites or servers or networks connected to the Websites.

9. Electronic Disclosure Agreement

All documents, including but not limited to, this Arbonne Website Terms of Use, the Arbonne Privacy Notice, and other documents which may apply depending on whether you are an Independent Consultant, Preferred Client, Client, or Customer, such as Arbonne’s SuccessPlan, Policies & Procedures Manual and the Independent Consultant Agreement, and Customer Program Terms & Conditions, as well as all notices, disclosures and records (collectively, “Disclosures”) relating to your account with Arbonne will be sent to you electronically at the email address indicated by you in the account registration form or by viewing the Disclosures on the Website. Alternatively, Arbonne may provide you with Disclosures via fax or in the mail.

You hereby consent and agree to receive all Disclosures from Arbonne electronically by email or by viewing the Disclosures on the Website. You may withdraw your consent to electronic Disclosures in the future at any time without charge. To withdraw your consent, please complete the online form on the Customer Service page of online form and indicate that you wish to receive all future communications in writing. We will send you a confirming notice once we have processed your change request.

You agree to promptly notify us of any changes in your email address or your home address by updating your profile online or by completing the online form on the Customer Service page of online form. If you have questions about receiving Disclosures, or need technical or other assistance concerning these Disclosures, you may contact us by using the online form.

If you would like a paper copy of the documents sent to you by mail, please send your request in writing to Arbonne International, LLC, c/o Arbonne Australia Pty Ltd., Level 9, Suite 902, 146 Arthur Street, North Sydney, NSW 2060, Attention: Customer Care.

10. Copyright Permission

Permission is granted for viewing these pages on the Internet, subject to the Terms & Conditions of this Agreement. In addition, Arbonne Independent Consultants are hereby granted permission to download or copy product and botanical images from the Website, as well as literature or wording solely for the purpose of promoting and selling Arbonne products and services in accordance with the Independent Consultant Agreement. Content copied from the Website must not be modified under any circumstances.

Changing a word or two may change the real meaning or definition. People or model images cannot be downloaded or copied due to copyright laws. In the event that information is downloaded or copied from the Website, the information, including any Content, data or files incorporated in or generated by the Website are owned by Arbonne and Arbonne retains complete title to the information and all property rights therein. All other rights reserved.

11. Trademarks

All Content, product names, trademarks, service marks and logos on the Websites, unless otherwise noted, are wholly owned or validly licensed by Arbonne or its affiliates. Trademarks, service marks and logos owned by third parties remain the property of such third parties.

12. Idea Submissions and User Content

Some portions of Arbonne’s Websites allow you to post photos, videos, comments, and other content, which we refer to as “User Content”. If you submit any ideas, suggestions, User Content, or testimonials to Arbonne, We have the right to use your submission without charge in any manner that We deem appropriate, including posting on the Internet. You may only post ideas and material to the Websites if you have obtained appropriate copyright and other permissions to post such materials and to permit Arbonne to use such material without restriction. You agree that you will not violate or infringe the rights of third parties, including privacy, publicity and intellectual and proprietary rights, such as copyright or trademark rights.

Arbonne is excited to have you contribute to the Arbonne community with your User Content following these rules:

only post User Content if you have all permissions and rights needed to make that User Content available, including from any individuals who appear or are mentioned in your User Content
do not include any personal information in the User Content unless necessary and ensure that the inclusion of any personal information in the User Content is compliant with the Privacy Act 2020
do not post User Content that is illegal, harassing, vulgar, defamatory, invasive of another’s privacy, or hateful
if User Content includes claims about Arbonne products or the Arbonne business opportunity, only use claims approved by Arbonne in its official materials
if your User Content refers to the Arbonne business opportunity, always be truthful and transparent about the effort it takes to build a business, and always refer to the typical earnings at each level of the Arbonne SuccessPlan by sharing the proper earnings disclaimer
if your User Content refers to the Arbonne products, only share information directly from Arbonne materials such as the Meet the Product Sheets at arbonne.com
if your User Content refers to the Arbonne products, avoid medical claims, any discussion of medical conditions or diseases, and promises of product efficacy

Except as required by law, Arbonne is not responsible for User Content others post to the Websites. User Content is owned by you or whoever created it, but when you post or submit the User Content, you agree as follows:

You represent that you have the right to post the User Content, and you grant Arbonne a non-exclusive, perpetual, transferable, sub-licensable, royalty-free, worldwide license to use any of the User Content that you post on or in connection with the Websites, including the likeness of any person that appears in the User Content, or any of the concepts or ideas contained in the User Content, for any purpose, including commercial use, which includes the right to translate, display, reproduce, modify, create derivative works, sublicense, distribute and assign these rights. Arbonne may, in its sole discretion, remove any User Content at any time.

You irrevocably waive any claims based on “moral rights” and similar theories, if any.

You understand that deleted User Content may persist in Arbonne’s systems and on the Websites to the extent your User Content has been publicly posted or shared with others who have not deleted it unless you or the relevant individual request deletion or blocking of personal data in accordance with applicable law.

You agree not to use, copy, edit, translate, display, distribute, download, transmit, sell, create derivative works of, or in any way exploit any User Content (unless it is your own User Content that you legally posted to the Websites), without Arbonne’s prior written consent. Unauthorized use of User Content may constitute a breach of copyright, trademark or other intellectual property laws and may subject you to criminal or civil charges and penalties.

13. Hyperlinks

Some hyperlinks on the site may give you access and refer you to other external websites not belonging to Arbonne International. We have no control over these external websites and by including these links on our website we are not endorsing, approving, or guaranteeing in any way the information posted on these websites or the representations made therein, including their products, services, warranty or else.

You acknowledge that you are solely responsible for and assume all risk associated with your use of any such external websites or resources, and you must ensure that you consult their terms and conditions, and policies. We will not be liable for any direct, indirect, or consequential damages, losses, or claims of any kind, arising out of your access or use of any external website. We also decline all responsibility if the content of these external websites is in violation of any legal and regulatory provisions, which are in effect.

Please inform us if you find any errors or inappropriate content on websites which are linked from our Websites.

14. Promotions

Arbonne may offer promotions and incentives, including prize promotions, from time to time. Each promotion will be subject to terms and conditions that accompany the announcement and marketing of such promotion. All promotions are offered without the requirement of a purchase and are void where prohibited. For prize draws that may require an element of consideration to enter, Arbonne offers a free alternate method of entry via postcard: enter by sending a postcard to Arbonne, Attn: Prize Promotions, Level 9, Suite 902, 146 Arthur Street, North Sydney, NSW 2060, stating your full name, your email address, your phone number, and your mailing address. If Arbonne receives your postcard by the deadline for entry in the prize promotion, you will be entered into the drawing.

15. Privacy Notice

When you interact with Us, we collect data about you. Sometimes you give it to Us (for example, when you contact Us via the “Contact Us” section on the Websites), and sometimes we collect it automatically (for example, through the use of cookies on the Websites). Your privacy is important to Us. By using the Websites, you agree to be bound by Arbonne’s Privacy Notice (incorporated herein by reference). Consistent with these policies, you may not collect, distribute or gather personal or aggregate information, including Internet or email addresses, about Arbonne’s Independent Consultants or any of their clients or other users.

16. Anti-Spam Policy

Arbonne strictly prohibits the sending of unsolicited commercial electronic messages which are commonly referred to as “spam”, and takes all necessary steps to comply with the requirements under the Unsolicited Electronic Messages Act 2007. For the purpose of this paragraph, “commercial electronic message” means a message sent by electronic means (including, but not limited to, electronic mail, instant messaging, or telephone account) where the content, manner of presentation and/or the content of the message links to suggests that the message’s purpose is to offer to supply or promote goods and services, or their supplier, or to promote a business or investment opportunity. An “unsolicited commercial electronic message” or “spam” is a “commercial electronic message” sent to a recipient where the recipient has not consented, either expressly or as inferred from any ongoing business relationship to the receipt of the commercial electronic message. Arbonne also prohibits using false headers in emails or falsifying, forging or altering the origin of any email in connection with Arbonne, and/or its products and services. Arbonne prohibits engaging in any of the foregoing activities by using the service of another provider, remailer service, or otherwise. Arbonne does not authorise you to use the Websites or any part of the Websites or any of Arbonne’s names, trademarks or logos to send “spam” to any person. Arbonne reserves the right to deny you access to the Websites if you breach this Section 16.

IF YOU OR ANYONE YOU KNOW IS “SPAMMED” BY SOMEONE WHO IS SELLING OR DESCRIBING ARBONNE’S PRODUCTS OR SERVICES, PLEASE CONTACT US USING THE DETAILS AT THE END OF THESE TERMS AND CONDITIONS PROMPTLY SO THAT WE MAY TAKE APPROPRIATE ACTION.

17. DISCLAIMER

TO THE EXTENT PERMITTED BY LAW (INCLUDING THE CONSUMER GUARANTEES ACT 1993), ARBONNE DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, COMPATIBILITY, SECURITY, ACCURACY, OR USEFULNESS WITH RESPECT TO ARBONNE’S PRODUCTS AND SERVICES, THIS WEBSITES, INFORMATION CONTAINED ON THE WEBSITE OR THE ARBONNE OPPORTUNITY (COLLECTIVELY HEREAFTER, “SERVICE”).

SUBJECT TO THE CONSUMER GUARANTEES ACT 1993,THIS SERVICE IS PROVIDED “AS IS.” YOU MAY RELY ON THIS SERVICE SOLELY AT YOUR OWN RISK. ADVICE, OPINIONS AND STATEMENTS SHOULD NOT BE RELIED UPON WHEN MAKING IMPORTANT PERSONAL, MEDICAL, LEGAL OR FINANCIAL DECISIONS. YOU SHOULD CONSULT A PROFESSIONAL TO OBTAIN SPECIFIC ADVICE APPROPRIATE TO YOUR CIRCUMSTANCES. YOU SHOULD NOT RELY ON ANY REPRESENTATIONS OR WARRANTIES CONTAINED ON ANY INDEPENDENT CONSULTANT WEBSITE.

THE FINAL SUCCESS OR FAILURE OF ANY ARBONNE INDEPENDENT CONSULTANT DEPENDS UPON HIS OR HER INDIVIDUAL EFFORT. THERE ARE NO GUARANTEES OR PROJECTIONS OF ACTUAL EARNINGS. 18. LIMITED LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ARBONNE, ITS AFFILIATES, AGENTS, THIRD PARTY INDEPENDENT CONTRACTORS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGES, EXPENSES OR COSTS WHETHER DIRECT OR INDIRECT, INCLUDING CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS OR OTHERWISE, ARISING OUT OF OR RELATING IN ANY WAY TO THIS AGREEMENT, YOUR USE OR INABILITY TO USE THIS SERVICE, YOUR PURCHASE OR USE OF ARBONNE PRODUCTS, SERVICES OR INFORMATION, YOUR PARTICIPATION AS AN ARBONNE INDEPENDENT CONSULTANT, OR FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA. YOU MAY HAVE RIGHTS OR REMEDIES WHICH ARE NOT EXCLUDED NOR LIMITED BY THE CONSUMER GUARANTEES ACT 1993. IF YOU ARE USING THIS SITE OR ITS CONTENT FOR BUSINESS PURPOSES, YOU AGREE THAT THE NEW ZEALAND CONSUMER GUARANTEES ACT 1993 WILL NOT APPLY TO YOU.

19. INDEMNIFICATION

INDEMNIFICATION. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS ARBONNE, ITS AFFILIATES, AGENTS, THIRD PARTY INDEPENDENT CONTRACTORS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (“INDEMNIFIED PARTIES”) FROM ANY AND ALL LIABILITIES, CLAIMS, EXPENSES AND DAMAGES, INCLUDING REASONABLE ATTORNEYS’ FEES AND COSTS, ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF THIS SERVICE, SALE OR INFORMATION REGARDING ARBONNE PRODUCTS, THE ARBONNE OPPORTUNITY, OR IN CONNECTION WITH YOUR ACCOUNT OR ANY OTHER PERSON’S USE OR ACCESS TO THIS SERVICE BY OR THROUGH YOUR ACCOUNT, WITH OR WITHOUT YOUR PERMISSION, INCLUDING WITHOUT LIMITATION ANY CLAIMS OF LIBEL, DEFAMATION, VIOLATION OF RIGHTS OF PRIVACY OR PUBLICITY, TRESPASS, AND INFRINGEMENT OF INTELLECTUAL OR OTHER PROPRIETARY RIGHTS, EXEPT TO THE EXTENT ANY SUCH LIABILITIES, CLAIMS, EXPENSES AND DAMAGES ARE CAUSED BY THE RELEVANT INDEMNIFIED PARTY.

20. EXCLUSIVE JURISDICTION

Jurisdiction and venue of any dispute arising out of this Agreement shall exclusively reside in Auckland, New Zealand, unless the laws in which you reside expressly requires the application of its laws. The law of New Zealand shall govern all other matters relating to or arising from this Agreement. This Agreement is deemed to have been made and entered into at Auckland, New Zealand. For Arbonne Independent Consultants, please refer to the Arbonne Policies and Procedures Manual for further information about dispute resolution procedures.

21. Waiver

No delay or omission by either party hereto to exercise any right or power occurring upon any noncompliance or default by the other party with respect to any of the terms of this Agreement shall impair any such right or power or be construed to be a waiver thereof. The Terms & Conditions of this Agreement may be waived or amended only in writing and only by the party that is entitled to the benefits of the term(s) or condition(s) being waived or amended. Unless stated otherwise, all remedies provided for in this Agreement shall be cumulative and in addition to and not in lieu of any other remedies available to either party at law, in equity, or otherwise.

22. Unenforceability

If any provision of this Agreement or any word, phrase, clause, sentence, or other portion thereof should be held to be unenforceable or invalid for any reason, then provided that the essential consideration for entering into this Agreement on the part of any party is not unreasonably impaired, such provision or portion thereof shall be modified or deleted in such manner as to render this Agreement as modified legal and enforceable to the maximum extent permitted under applicable laws.

23. Termination of Right to Access the Websites

Arbonne may terminate the Website or this Agreement for any reason at any time, provided that Arbonne will use reasonable endeavours to notify you in advance of any such termination.

24. Survival of Agreement

Subject to any provision to the contrary, this Agreement will endure to the benefit of and be binding upon Arbonne and you and the parties’ respective successors, trustees, permitted assigns but will not endure to the benefit of any other persons. The covenants, conditions and provisions of this Agreement which are capable of having effect after the expiration of the Agreement will remain in full force and effect.

25. Interpretation

In this Agreement, unless the contrary intention appears:

the singular includes the plural and vice versa;
words importing one gender include other genders;
a reference to a document or instrument, including this Agreement, includes that document or instrument as novated, altered or replaced from time to time;
a reference to an individual or person includes a partnership, government authority or agency and vice versa;
a reference to a party includes that party’s executors, administrators, successors, substitutes and permitted assigns;
other grammatical forms of defined words or expressions have corresponding meanings;
a covenant, undertaking, representation, warranty, indemnity or agreement made or given by: (i) two or more parties; or (ii) a party comprised of two or more persons, is made or given and binds those parties or persons jointly and severally;
a reference to a statute, code or other law includes regulations and other instruments made under it and includes consolidations, amendments, re-enactments or replacements of any of them; and
headings are for convenience only and do not affect the interpretation of this Agreement.

26. Conflicts

If at any time you have agreed or agree to the Arbonne Independent Consultant Application & Agreement, to the extent of any conflict between the terms of the Arbonne Independent Consultant Application & Agreement and the terms of this Agreement (including, without limitation, any conflict with respect to dispute resolution terms), the terms of the Arbonne Independent Consultant Application & Agreement shall apply and control.
